GENERAL INFORMATION
Clinuvel Pharmaceuticals Limited was incorporated under the laws of the Commonwealth of Australia in 1999. Our ordinary shares are listed on the ASX under the symbol “CUV”. We filed a registration statement on Form 20-F with respect to our ordinary shares, as represented by American Depositary Shares, or ADSs, with the U.S. Securities and Exchange Commission, that was declared effective July 17, 2026. Clinuvel currently has an American Depositary Shares program, with American Depositary Shares representing Clinuvel Shares (“Clinuvel ADSs”) which are traded on The Nasdaq Stock Market LLC (“Nasdaq”) under the symbol “CUVL.” Each Clinuvel ADS represents one (1) Clinuvel Share. The Clinuvel ADS program is expected to remain in place throughout the Scheme process. The Bank of New York Mellon acts as our depositary and registers and delivers our ADSs. Except where the context otherwise requires or where otherwise indicated, the terms “we,” “us,” “our”, “Clinuvel” and the “Company” mean Clinuvel Pharmaceuticals Limited and its subsidiaries, unless otherwise indicated.
FINANCIAL AND OTHER INFORMATION
In this Annual Report, “fiscal year” refers to the period between July 1 and June 30 of the following year. For instance, the term “fiscal 2026” refers to our fiscal year ending June 30, 2026.
Unless otherwise indicated, all amounts presented in this annual report are presented in U.S. dollars, or US$. Our functional currency is the Australian dollar, or A$. Solely for the convenience of the reader, this annual report contains translations of certain Australian dollar amounts into U.S. dollars at specified rates. No representation is made that Australian dollar amounts referred to in this annual report could have been or could be converted into U.S. dollars at such rates or any other rates. Any discrepancies in any table between totals and sums of the amounts listed are due to rounding. Throughout this annual report, all references to “ADSs” mean American depositary shares, each of which represents one of our ordinary shares, no par value (“Ordinary Shares”), and all references to “ADRs” mean the American depositary receipts that evidence the ADSs. The primary listing of Ordinary Shares is the Australian Securities Exchange (“ASX”) and this annual report relates to a secondary listing of Ordinary Shares, in the form of ADSs, on Nasdaq Global Select Market (“Nasdaq”).
Statements made in this Annual Report on Form 20-F concerning the contents of any contract, agreement or other document are summaries of such contracts, agreements or documents and are not complete descriptions of all of their terms. If we filed any of these documents as an exhibit to this Annual Report or to any registration statement that we previously filed, you may read the document itself for a complete description of its terms.

These risks are not exhaustive. Other sections of this annual report may include additional factors that could harm our business and financial performance. New risk factors may emerge from time to time and it is not possible for our management to predict all risk factors, nor can we assess the impact of all factors on our business or the extent to which any factor, or combination of factors, may cause actual results to differ materially from those contained in, or implied by, any forward-looking statements.
You should not rely on forward-looking statements as predictions of future events. We have based the forward-looking statements contained in this annual report primarily on our current expectations and projections about future events and trends that we believe may affect our business, financial condition and operating results. We undertake no obligation to update any forward-looking statements made in this annual report to reflect events or circumstances after the date of this annual report or to reflect new information or the occurrence of unanticipated events, except as required by law. We may not actually achieve the plans, intentions or expectations disclosed in our forward-looking statements, and you should not place undue reliance on our forward-looking statements. Our forward-looking statements do not reflect the potential impact of any future acquisitions, mergers, dispositions, joint ventures or investments.
In addition, statements that “we believe” and similar statements reflect our beliefs and opinions on the relevant subject. These statements are based on information available to us as of the date of this annual report. While we believe that information provides a reasonable basis for these statements, that information may be limited or incomplete. Our statements should not be read to indicate that we have conducted an exhaustive inquiry into, or review of, all relevant information. These statements are inherently uncertain, and investors are cautioned not to unduly rely on these statements.
You should read this annual report and the documents that we reference and have filed as exhibits to the annual report with the understanding that our actual future results, performance and achievements may be different from what we expect. We qualify all of our forward-looking statements by these cautionary statements.
