PRELIMINARY PROSPECTUSSUBJECT TO COMPLETION, DATED SEPTEMBER 30, 2026

$150,000,000

15,000,000 Units

BHAV Acquisition Corp II is a newly incorporated blank check company incorporated as a Cayman Islands exempted company and incorporated for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. Our efforts to identify a prospective initial business combination target will not be limited to a particular industry, sector or geographic region. While we may pursue an initial business combination opportunity in any business, industry or geographic location, we intend to capitalize on the ability of our management team and the individuals that may be appointed as members of our advisory board from time to time (the “board advisors”) to identify, acquire and operate a business or businesses that can benefit from our management team’s established relationships, and sector management and operating experience. In particular, we currently intend to focus on opportunities that capitalize on the experience and ability of our management team, including our Chief Executive Officer, Giri Devanur, and our current board advisors, Rajan Singhal and Veerendra Basappa, to identify, acquire and operate a business in the advanced and industrial robotics, electric-vehicles (“EVs”), drones and unmanned-aerial-systems (“UAS”), financial technology (“fintech”), quantum computing and advanced computing infrastructure industry or advanced energy technologies, including geothermal energy, advanced and small modular nuclear reactors, energy storage, grid infrastructure and other next-generation energy technologies.

This is an initial public offering of our securities. Each unit has an offering price of $10.00 and consists of one (1) Class A ordinary share and one (1) right, as described in more detail in this prospectus. Each right entitles the holder thereof to receive one-fourth (1/4) of one Class A ordinary share upon consummation of our initial business combination. We refer herein to the units sold in this offering as our “public units,” and the components thereof as our “public shares” and “public rights,” respectively. No fractional Class A ordinary shares will be issued in connection with an exchange of rights, so you must hold rights in multiples of four (4) in order to receive Class A ordinary shares for all your rights upon closing of a business combination. We have also granted the underwriters a 45-day option to purchase up to an additional 2,250,000 units to cover over-allotments, if any.

BHAV Partners II LLC, which we refer herein as our “sponsor” or the “initial shareholder,” has agreed that it will purchase from us an aggregate of 325,000 private placement units, or 347,500 private placement units if the underwriters’ over-allotment option is exercised in full, at a price of $10.00 per unit, in a private placement that will close simultaneously with the closing of this offering. We refer to these private placement units throughout this prospectus as the “private placement units,” and the Class A ordinary shares and rights underlying such private placement units, the “private placement shares” and “private placement rights,” respectively. The private placement units are identical to the units sold in this offering, subject to limited exceptions described in this prospectus. The private placement units will be sold in a private placement that will close simultaneously with the closing of this offering. Our sponsor has agreed not to transfer, assign or sell any of the private placement units or underlying securities (with certain exceptions) until after the completion of our initial business combination.

On June 25, 2026, our sponsor purchased, and we issued to the sponsor,5,750,000 Class B ordinary shares, or “founder shares,” for an aggregate purchase price of $25,000, or approximately $0.0043 per share, of which up to an aggregate of 750,000 Class B ordinary shares held by our sponsor are subject to forfeiture depending on the extent to which the underwriters’ over-allotment option is exercised. The Class B ordinary shares will automatically convert into Class A ordinary shares at the time of our initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment as provided herein and in our amended and restated memorandum and articles of association. The holders of our Class B ordinary shares will have the exclusive right to vote on the appointment and removal of our directors and our transfer by way of continuation in a jurisdiction outside the Cayman Islands prior to our initial business combination. Because our sponsor acquired the founder shares at a nominal price, our public shareholders will incur an immediate and

substantial dilution upon the closing of this offering. The founder shares issued to our initial shareholder will equal 25% of the outstanding ordinary shares upon the completion of the offering. This structure is unlike the structure of other blank check companies, which often provide that the Class B ordinary shares would equal 20% of the outstanding ordinary shares upon the completion of the offering. Further, the Class A ordinary shares issuable in connection with the conversion of the founder shares may result in material dilution to our public shareholders due to the anti-dilution rights of our founder shares that may result in an issuance of Class A ordinary shares on a greater than one-to-one basis upon conversion. In the case that additional Class A ordinary shares, or equity-linked securities (as described herein), are issued or deemed issued in excess of the amounts offered in this offering and related to or in connection with the closing of our initial business combination, the ratio at which Class B ordinary shares will convert into Class A ordinary shares will be adjusted (unless the holders of a majority of the issued and outstanding Class B ordinary shares agree to waive such anti-dilution adjustment with respect to any such issuance or deemed issuance) so that the number of Class A ordinary shares issuable upon conversion of all Class B ordinary shares will equal, in the aggregate, on an as-converted basis, 25% of the sum of (i) all Class A ordinary shares issued and outstanding upon the completion of this offering (including any Class A ordinary shares issued pursuant to the underwriters’ over-allotment option and excluding the private placement shares and the Class A ordinary shares issued to Maxim, the representative of our underwriters), (ii) plus all Class A ordinary shares and equity-linked securities issued or deemed issued in connection with our initial business combination (excluding any shares or equity-linked securities issued, or to be issued, to any seller in the initial business combination) and (iii) minus any redemptions of Class A ordinary shares by public shareholders in connection with an initial business combination or certain amendments to our amended and restated articles of association prior to an initial business combination; provided that such conversion of founder shares will never occur on a less than one-for-one basis. If we increase or decrease the size of the offering pursuant to Rule 462(b) of the Securities Act of 1933, as amended, or the Securities Act, we will effect a share capitalization or a share repurchase or redemption or other appropriate mechanism, as applicable, with respect to our Class B ordinary shares immediately prior to the consummation of the offering in such amount as to maintain the ownership of founder shares by our initial shareholder, or an as-converted basis, at 25% of our issued and outstanding ordinary shares upon the consummation of this offering for no additional consideration, which may result in the issuance of additional Class B ordinary shares to our sponsor and accordingly, may result in a material dilution of our public shareholders’ equity interests.

Our sponsor has agreed to loan up to $500,000 to us to cover organizational, offering-related and post-offering expenses, which is due upon consummation of our initial business combination or on the date of our dissolution deadline. At the closing of this offering, the outstanding principal balance of these loans will be deemed to be repaid and settled in connection with the sponsor’s purchase of private placement units at a price of $10.00 per private placement unit (such deemed repayment being attributed to the purchase of [•] private placement units), as described elsewhere in this prospectus. Further, commencing on the date our securities are first listed on Nasdaq, we will begin paying our sponsor $20,000 per month for office space and administrative and support services, which payments will cease upon the earlier of the consummation of our initial business combination or at the time of our dissolution. Additionally, our sponsor, our officers, directors and board advisors or their affiliates may be paid finder’s fees, advisory fees, consulting fees or success fees in order to effectuate the completion of our initial business combination. Further, following consummation of a business combination, members of our management team will be entitled to reimbursement for any out-of-pocket expenses related to identifying, investigating and completing an initial business combination. In addition, we may engage Maxim as our financial advisor in connection with our initial business combination and as placement agent in connection with any private placement financing associated with our initial business combination pursuant to which they will be paid customary fees. As a result, there may be actual or potential material conflicts of interest between members of our management team and our sponsor and their respective affiliates on one hand, and purchasers in this offering on the other. See “Prospectus Summary — Sponsor Information,” “Prospectus Summary — The Offering — Founder Shares,” “Summary — The Offering — Transfer Restrictions on Founder Shares,” and “Summary — The Offering — Conversion and Anti-Dilution Rights of Founder Shares,” “Risk Factors — Risks Relating to our Sponsor and Management Team — Our sponsor paid an aggregate of $25,000, or approximately $0.0043 per founder share, and, accordingly, you will experience immediate and substantial dilution upon the purchase of our ordinary shares” and “Risk Factors — Risks Relating to our Sponsor and Management Team — We may engage Maxim as our financial advisor in connection with our initial business combination and as placement agent in connection with any private placement financing associated with our initial business combination. Financial interests in the completion our initial business combination may create conflicts of interest in connection with Maxim’s provisions of such services.”

Certain investors (none of which are affiliated with any member of our management, our sponsor or any other investor), which we refer to as the “non-managing sponsor investors” throughout this prospectus, have indirectly acquired interests through the purchase of non-managing sponsor membership interests in an aggregate of up to (i) 325,000 private placement units that will be purchased by our sponsor in a private placement that will close simultaneously with the closing of this offering; and (ii) 1,300,000 founder shares held by the sponsor. See “Prospectus Summary — Sponsor Information” for more information.

None of the holders of non-managing membership interests in our sponsor have expressed to us an interest in purchasing any of the units in this offering and neither us nor Maxim have had discussions with any holders of non-managing membership interests regarding any purchases of units in this offering. If the holders of non-managing membership interests purchase units in the offering, and depending on how many public units are purchased by the holders of non-managing membership interests, the post-offering trading volume, volatility and liquidity of our securities may be reduced relative to what they would have been had the units been more widely offered and sold to other public investors. We do not expect any potential purchases of units by the holders of non-managing membership interests to negatively impact our ability to meet the listing eligibility requirements for the Nasdaq Global Market, or Nasdaq. In addition, the underwriters have full discretion to allocate the units in this offering to investors and may determine to sell fewer units to the holders of non-managing membership interests, or none at all, and any potential purchases of non-managing sponsor membership interests by such holders is not contingent upon the participation in this offering or vice versa, and in no case would any of the holders of non-managing membership interests be sold more than 9.9% of the units to be sold in this offering. The underwriters will receive the same upfront discounts and commissions on public units purchased by the holders of non-managing membership interests, as it will on the other units sold to the public in this offering. In addition, none of the holders of non-managing membership interests have any obligation to vote any of their public shares in favor of our initial business combination, except for Mr. Singhal and Mr. Basappa (provided that any ordinary shares that may be purchased by such individuals in compliance with the requirements of Rule 14e-5 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), would not be voted in favor of approving such business combination). Nevertheless, regardless of the number of units they purchase, the holders of non-managing membership interests will be incentivized to vote their public shares in favor of a business combination due to their indirect ownership through the sponsor of founder shares and the securities underlying the private placement units. Additionally, these holders of non-managing membership interests have the potential to realize enhanced economic returns from their investments compared to other investors in this offering.

As more fully discussed in “Management and Advisory Board —Conflicts of Interest,” each of our officers and directors presently has, and any of them in the future may have additional, fiduciary, contractual or other obligations or duties to one or more other entities pursuant to which such officer or director is or will be required to present a business combination opportunity to such entities. The low price that our initial shareholder (directly or indirectly) paid for the founder shares creates an incentive whereby our initial shareholder, executive officers, directors and board advisors could potentially make a substantial profit even if we select an acquisition target that subsequently declines in value and is unprofitable for public shareholders. If we are unable to complete our initial business combination within 15 months from the closing of this offering, or by such earlier liquidation date as our board of directors may approve, the founder shares and private placement units may expire worthless, except to the extent they are entitled to receive liquidating distributions from assets outside the trust account, which could create an incentive for our sponsor, executive officers and directors to complete a transaction even if we select an acquisition target that subsequently declines in value and is unprofitable for public shareholders. Further, each of our officers and directors may have a conflict of interest with respect to evaluating a particular business combination if the retention or resignation of any such officers and directors was included by a target business as a condition to any agreement with respect to our initial business combination. Additionally, upon consummation of this offering, we will begin paying to our sponsor in an amount equal to $20,000 per month for office space, secretarial and administrative support made available to us, as described elsewhere in this prospectus, which payments will cease upon the earlier of the consummation of our initial business combination or at the time of our dissolution. In addition, at the closing of our initial business combination, we may pay our sponsor, or an affiliate of the sponsor, consulting fees for assessing, negotiating and managing the process for consummating an initial business combination. Following

consummation of a business combination, members of our management team will be entitled to reimbursement for any out-of-pocket expenses related to identifying, investigating and completing an initial business combination. Further, Mr. Setti, our Chief Financial Officer, will receive an indirect interest in an aggregate amount of 110,000 founder shares, our independent directors will receive an indirect interest in an aggregate amount of 150,000 founder shares, or 25,000 each, except for Balaji Swaminathan, who will receive an indirect interest in an aggregate amount of 100,000 founder shares, and our board advisors will receive an indirect interest in an aggregate amount of 50,000 founder shares, or 25,000 each, in each case through non-managing membership interests in our sponsor as compensation for their services as Chief Financial Officer, directors and board advisors, as applicable, prior to the consummation of this offering. We may appoint additional board advisors in the future prior to our initial business combination, which board advisors would receive the same amount of compensation for their services as Mr. Singhal. As a result, there may be actual or potential material conflicts of interest between members of our management team, our sponsor and its affiliates on the one hand, and purchasers in this offering on the other. See the sections titled “Proposed Busi ness — Sourcing of Potential Business Combination Targets,” “Risk Factors — Risks Relating to our Sponsor and Management Team,” “Management and Advisory Board — Conflicts of Interest” and “Management and Advisory Board — Advisory Board” for more information.

We will provide our public shareholders (excluding our initial shareholder, officers, directors and board advisors to the extent they acquire public shares, either in this offering or in secondary market transactions thereafter) with the opportunity to redeem, regardless of whether they abstain, vote in favor of, or vote against our initial business combination, all or a portion of their Class A ordinary shares upon the completion of our initial business combination at a per-share price, payable in cash, equal to the aggregate amount then on deposit in the trust account described below as of two business days prior to the consummation of our initial business combination, including interest (which interest shall be net of permitted withdrawals) divided by the number of then issued and outstanding Class A ordinary shares that were sold as part of the units in this offering, subject to the limitations described herein. If we are unable to complete our initial business combination within 15 months from the closing of this offering or during any extended time that we have to consummate a business combination beyond 15 months as a result of a shareholder vote to amend our amended and restated memorandum and articles of association (an “Extension Period”), we will redeem 100% of the public shares at a per-share price, payable in cash, equal to the aggregate amount then on deposit in the trust account, including interest (which interest shall be net of permitted withdrawals and up to $100,000 of interest to pay dissolution expenses) divided by the number of then outstanding public shares, subject to applicable law and as further described herein. See “Summary — The Offering — Redemption rights for public shareholders upon completion of our initial business combination” and “Summary — The Offering — Redemption of public shares and distribution and liquidation if no initial business combination” for more information.

Notwithstanding the foregoing redemption rights, if we seek shareholder approval of our initial business combination and we do not conduct redemptions in connection with our initial business combination pursuant to the tender offer rules, our amended and restated memorandum and articles of association provide that a public shareholder, together with any affiliate of such shareholder or any other person with whom such shareholder is acting in concert or as a “group” (as defined under Section 13 of the Exchange Act) will be restricted from redeeming its shares with respect to more than an aggregate of 15% of the shares sold in this offering without our prior consent. However, we would not be restricting our shareholders’ ability to vote all of their shares (including all shares held by those shareholders that hold more than 15% of the shares sold in this offering) for or against our initial business combination. See “Summary — The Offering — Limitation on redemption rights of shareholders holding 15% or more of the shares sold in this offering if we hold shareholder vote” for further discussion on certain limitations on redemption rights.

We have until the date that is 15 months from the closing of this offering, or until such earlier liquidation date as our board of directors may approve, to consummate our initial business combination. If we anticipate that we may be unable to consummate our initial business combination within such 15-month period, we may seek shareholder approval to amend our amended and restated memorandum and articles of association to extend the date by which we must consummate our initial business combination. There are no limitations on the number of times we may seek shareholder approval for an extension or the length of time of any such extension. If we seek shareholder approval for an extension, holders of public shares will be offered an opportunity to redeem their shares, upon the effectiveness of such extension, regardless of whether they abstain, vote in favor of or vote against our initial business combination, at a per share price, payable in cash, equal to the aggregate amount then on deposit in the trust account, including interest earned thereon (which interest shall be net of permitted withdrawals), divided by the number of then issued and outstanding public shares, subject to applicable law. If we are unable to complete our initial business combination

within 15 months from the closing of this offering, during any Extension Period or by such earlier liquidation date as our board of directors may approve, we will redeem 100% of the public shares at a per share price, payable in cash, equal to the aggregate amount then on deposit in the trust account, including interest earned thereon (which interest shall be net of income and franchise taxes payable and up to $100,000 of interest to pay dissolution expenses), divided by the number of then issued and outstanding public shares, subject to applicable law as further described herein.

Prior to this offering, there was no public market for our units, Class A ordinary shares or public rights. We intend to apply to list our units on Nasdaq under the symbol “BHAIU.” We expect the Class A ordinary shares and public rights comprising the public units to begin separate trading on the 52 nd day following the date of this prospectus unless Maxim, the representative of the underwriters, informs us of its decision to allow earlier separate trading, subject to our filing a Current Report on Form 8-K with the U.S. Securities and Exchange Commission, or the SEC, containing an audited balance sheet reflecting our receipt of the gross proceeds of this offering and issuing a press release announcing when such separate trading will begin.

We cannot guarantee that our securities will be approved for listing. Once the securities comprising the units begin separate trading, we expect that the Class A ordinary shares and public rights will be traded on Nasdaq under the symbols “BHAI” and “BHAIR,” respectively.

We have not authorized anyone to provide any information or to make any representations other than those contained in this prospectus. We take no responsibility for, and can provide no assurance as to the reliability of, any other information that others may give you. This prospectus is an offer to sell only the units offered hereby, but only under circumstances and in jurisdictions where it is lawful to do so. The information contained in this prospectus is current only as of its date.

We are an “emerging growth company” and a “smaller reporting company” under applicable federal securities laws and will be subject to reduced public company reporting requirements. Investing in our securities involves risks. We are a blank check company incorporated as a Cayman Islands exempted company. Our units offered in this prospectus include shares of a Cayman Islands blank check company instead of the shares of the operating entities with whom we may combine. As a blank check company with no material operations of our own, we seek to complete a business combination with one or more businesses or entities.

We are a blank check company with no subsidiaries and no operations of our own except organizational activities, the preparation of this offering and, following the closing of this offering, searching for a suitable target to consummate an initial business combination. As of the date of this prospectus, we have not made any transfers, dividends or distributions to any person or entity. We do not intend to distribute earnings or settle amounts owed until after the closing of the business combination. We may retain all of our available funds and any future earnings following a business combination to fund the development and growth of our business. As a result, we may not pay any cash dividends in the foreseeable future.

See “Risk Factors” beginning on page 51 of this prospectus for a discussion of information that should be considered in connection with an investment in our securities. Investors will not be entitled to protections normally afforded to investors in Rule 419 blank check offerings.

Our units offered in this prospectus include shares of a Cayman Islands blank check company instead of the shares of the operating entities with whom we may combine.

(1) Includes $0.10 per unit, or $1,500,000 in the aggregate (or $1,725,000 if the underwriters’ over-allotment option is exercised in full), payable to the underwriters upon the closing of this offering. In addition, the representative of the underwriters or its designees will receive an aggregate of 450,000 Class A ordinary shares (or 517,500 Class A ordinary shares if the underwriters’ over-allotment option is exercised in full), which we refer to herein as the “representative shares,” as compensation in connection with this offering. See also “Underwriting” for a description of compensation and other items of value payable to the underwriters.

Of the proceeds we receive from this offering and the sale of the private placement units described in this prospectus, $150,000,000, or $172,500,000 if the underwriters’ over-allotment option is exercised in full ($10.00 per unit), will be deposited into a trust account with Continental Stock Transfer & Trust Company acting as trustee. Except with respect to interest earned on the funds held in the trust account that may be released to us to pay our income and franchise taxes, if any (collectively, “permitted withdrawals”), the funds held in the trust account will not be released from the trust account until the earliest to occur of: (1) our completion of an initial business combination; (2) the redemption of any public shares properly submitted in connection with a shareholder vote to amend our amended and restated memorandum and articles of association (A) to modify the substance or timing of our obligation to allow redemption in connection with our initial business combination or to redeem 100% of our public shares if we do not complete our initial business combination within 15 months from the closing of this offering or (B) with respect to any other provision relating to the rights of holders of Class A ordinary shares or pre-initial business combination activity; and (3) the redemption of our public shares if we have not completed an initial business combination within 15 months from the closing of this offering or during any Extension Period, subject to applicable law. The proceeds deposited in the trust account could become subject to the claims of our creditors, if any, which could have priority over the claims of our public shareholders. If we seek shareholder approval to extend beyond the 15-month period in which to complete an initial business combination to a later date, we will offer our public shareholders (excluding our initial shareholder, officers, directors and board advisors to the extent they acquire public shares, either in this offering or in secondary market transactions thereafter) the right to have their public ordinary shares redeemed for a pro rata share of the aggregate amount then on deposit in the trust account, including interest (less permitted withdrawals), as described in greater detail in this prospectus. Compensation paid and securities issued to the sponsor, its affiliates, and promoters as well as the anti-dilution adjustment to the founder shares may result in a material dilution of the purchasers’ equity interest. See sections titled“Dilution”and “Underwriting” for descriptions of compensation and dilution.

The following table illustrates the difference between the public offering price per unit and our net tangible book value per share (“NTBV”), as adjusted to give effect to this offering and assuming the redemption of our public shares at varying levels and the exercise in full and no exercise of the over-allotment option. See the section titled “Dilution” for more information.
